1. Acceptance of Terms
By accessing or subscribing to VirtualBees (the "Service"), you agree to these legally binding Terms. Continued use after updates constitutes acceptance of revised Terms. Notifications of changes will be sent via email or in-app alerts.
2. Eligibility Requirements
Users must be 18+ years old (or the age of majority in their jurisdiction). Users confirm they are legally permitted to engage in algorithmic trading in India. The Service may restrict access to users in prohibited regions (e.g., countries under financial sanctions).
3. Account Registration & Security
Provide accurate, verifiable information during signup (e.g., name, email, KYC documents as per Indian regulations). Users are solely responsible for:
- Maintaining account confidentiality (passwords, API keys, 2FA).
- All activities under their account.
- Notifying VirtualBees immediately of unauthorized access or breaches.
4. Subscription & Payment Terms
Subscription plans (monthly/annual) and fees are detailed on the Pricing Page.
Automatic Renewal: Subscriptions renew automatically unless canceled 7 days before the billing cycle.
Accepted payment methods: Credit/debit cards, bank transfers, UPI, or approved third-party gateways compliant with Indian regulations.
Taxes (GST) are the user's responsibility as per Indian tax laws.
Refunds: Limited to prorated amounts for technical outages (see Service Level Agreement).
5. Algorithmic Trading Risks & Disclaimers
Users acknowledge and accept the following risks:
- Market Risks: Volatility, liquidity gaps, and sudden price swings.
- Technical Risks: Latency, data inaccuracies, or connectivity failures.
- Strategy Risks: Losses due to flawed logic, backtesting errors, or overfitting.
VirtualBees does NOT guarantee profits, returns, or strategy performance.
6. Permitted Use & Restrictions
Users may:
- Deploy pre-built algorithms or custom strategies (if allowed by the Service).
- Integrate with approved third-party brokers/exchanges compliant with SEBI regulations in India via API.
Users may NOT:
- Reverse-engineer, copy, or resell the software.
- Use the Service for illegal activities (e.g., market manipulation, wash trading).
- Overload servers with excessive API requests (fair usage policy applies).
7. Intellectual Property Rights
VirtualBees retains ownership of all software, algorithms, UI/UX, and documentation.
Users grant VirtualBees a license to use anonymized trading data for platform improvements, complying with Indian data privacy regulations.
Custom algorithms uploaded by users remain their property but must comply with Platform policies.
8. Data Privacy & Security
Personal and trading data is processed per the Privacy Policy (linked), complying with the Indian Information Technology Act, 2000 and its amendments.
Data may be shared with:
- Regulatory authorities (SEBI, RBI) as required by Indian law.
- Third-party vendors (e.g., cloud providers, payment processors) under strict data transfer agreements.
VirtualBees uses encryption and industry-standard security but cannot guarantee 100% breach protection.
9. Third-Party Integrations
The Service may connect to brokers, exchanges, or data providers compliant with SEBI regulations.
VirtualBees is not liable for:
- Accuracy of third-party market data.
- Downtime or errors caused by third-party APIs.
- Compliance of third-party platforms with Indian laws.
10. Service Availability & Support
Uptime: Target of 99.9% (excludes scheduled maintenance or force majeure events).
Support is provided via email ([email protected]) or in-app chat during business hours (IST).
Critical bug fixes are prioritized; feature requests are addressed at VirtualBees' discretion.
11. Termination & Suspension
Users may cancel subscriptions at any time via the dashboard.
VirtualBees may suspend/terminate accounts for:
- Violation of these Terms.
- Non-payment of fees for 15+ days.
- Suspicious or abusive activity.
Upon termination, access to algorithms and historical data may be revoked.
12. Limitation of Liability
VirtualBees and its affiliates are not liable for:
- Direct/indirect financial losses from trading.
- Damages due to service interruptions, bugs, or cyberattacks.
- User reliance on algorithmic outputs or backtested results.
Total liability is capped at the fees paid by the user in the preceding 6 months.
13. Governing Law & Dispute Resolution
Governed by the laws of India.
